TERMS & CONDITIONS

Important Information for Participants in the Live Life Membership Scheme
(Effective from 18 June 2008)

The Live Life Membership Scheme (the “Scheme”) is governed by the terms and conditions of this Agreement (the “Agreement”, which expression shall include the terms and conditions set out herein as may be amended, modified and/or supplemented from time to time). As used herein, the terms “IAG” “we” “us” and “our” mean IAG Healthsciences Pte Ltd of 290 Orchard Road Suite 07-11/12, Paragon Medical Suites, Singapore 238859. “You” means the person who signed the application form (“Application”) for the Scheme or is issued or uses a Live Life Membership Card (“Live Life Card”) on these terms and conditions. “Your Membership” means your membership under the Scheme. “Participating Agent” means an IAG agent that participates in the Scheme.

This is Your Contract with Us. This document is a legal contract between you and us. You are bound by this Agreement as soon as you have received, signed or used your Live Life Card. All transactions using your Live Life Card (“Card Transactions”) are subject to this Agreement. 
    
1. BENEFITS
1.1 You will receive information from time to time which will inform you the goods and services you can enjoy for free or at a discount (“Benefits”) provided by Participating Agents during a certain period to be specified.

1.2 You can enjoy percentage discounts and special rates on your Card Transactions at the Participating Agents by presenting your Life!Card before each Card Transaction.

1.3 You can redeem a voucher for use at the Participating Agents by calling IAG and specifying the type of voucher you would like to receive. The voucher will then be posted to you at the mailing address you provided. You will then be able to enjoy the Benefits at the relevant Participating Agents by presenting the vouchers before each Card Transaction. If you request an additional service—like registered delivery or telephone notification—you may be required to provide additional fees and information.

1.4 Certain Benefits or Card Transactions may have additional requirements. Benefits cannot be exchanged for cash or other goods and services and are subject to change without prior notice.

2. USING THE LIFE!CARD

2.1 When you receive your Life!Card you must sign it immediately. Please keep your Life!Card safely and ensure that you and no one else uses your Life!Card.

2.2 By receiving, signing on or using your Life!Card, you have accepted and shall be deemed bound by these terms and conditions.

2.3 Although the Live Life Card is held by you, it remains our property. You must return the Live Life Card cut in half to us immediately upon our request at any time.

2.4 You must ensure that the Live Life Card is not used for any illegal Card Transaction.

2.5 The Life!Card may only be used to effect Card Transactions during its validity period as printed on the Life!Card.

2.6 You are required to promptly notify us in writing of any change in the particulars provided in your Application including your mailing address, contact number and provide us with any information we may request from time to time. IAG is not responsible for any loss as a result of your failure to notify of any change in such information.

3. OUR DISCRETION

3.1 We reserve the right not to approve any Card Transaction.

3.2 You can normally use your Live Life Card until its expiry date. However, we reserve the right to extend and suspend the use of your Live Life Card.

3.3 In order to use your Live Life Card and participate in the Scheme, you must fulfill the requirements pursuant to our policy and all applicable law to enable you to utilise the membership privileges.

4. FEES

4.1 Your Life!Card is issued to you in consideration of an annual subscription fee of S$500.00 or S$88.00 including goods and services tax ( GST ) and the validity of your Life!Card is subject to the payment of the following (where applicable):- (a) an renewal fee or replacement fee for the Life!Card or replacement Life!Card; and (b) any other fees and charges payable by you which shall be decided and may be changed from time to time by us, (collectively,  Fees ).

4.2 Payment of all Fees is to be made in Singapore dollars. If any payment is received by us in a foreign currency we shall convert that currency into Singapore dollars at an exchange rate we decide and apply the amount of Singapore dollars toward such payment.

4.3 You must make payments of Fees in full without any deduction or withholding (whether in respect of set-off, counter-claim, duties, taxes or otherwise) unless such deduction or withholding is required by law.

4.4 If a deduction or withholding is required by law, you must immediately pay to us an additional amount such that the net amount received by us is equal to the amount that we would have received had no such deduction or withholding been made.

4.5 You must pay all GST and/or any other taxes imposed by law or required to be paid under this Agreement and we are entitled to debit the same from the payment of Fees.

5. TERMINATION AND SUSPENSION

5.1 You may terminate your Membership by (a) giving us written notice of termination; (b) returning to us the Live Life Card cut in half; and (c) paying all outstanding Fees to us in full (where applicable).

5.2 We reserve our right to suspend or terminate your Membership at any time. We may suspend or terminate your Membership in the event of a breach by you of this Agreement.

5.3 If we suspend your Membership for any reason, you must immediately pay us all outstanding Fees in full (including any such Fee already incurred but not paid for before the suspension).

5.4 If we terminate the Scheme or your Membership for any reason, you must immediately return your Live Life Card to us cut in half and pay us all outstanding Fees in full (including any such Fee already incurred but not paid for before we have received the Live Life Card).

5.5 We will not refund the annual subscription fee, renewal fee or any other fee paid or payment made to us if the Scheme, your Membership or the use of your Live Life Card is suspended or terminated.

5.6 Your obligations and responsibilities under this Agreement will continue despite the suspension or termination of the Scheme or the use of your Live Life Card for any reason by either party.

6. EXCLUSION OF LIABILITY

6.1 We shall not be responsible for or liable to you for any loss or damage which may be suffered by you or any other person in any way in relation to the quality of goods supplied and the performance of services provided by any Participating Agent or any Card Transaction or any other transaction contemplated hereunder with the use of the Life!Card.

6.2 We shall not be responsible for or liable to you for any loss or damage which may be suffered by you or any other person in any way in relation to the suspension or termination of the Scheme, your Membership or the use of your Live Life Card for any reason.

6.3 You cannot use a claim dispute or counterclaim or right of set-off you may have against us and/or any Participating Agent to make a claim against us, or refuse to pay us.

6.4 We will not be liable if any Participating Agent refuses to accept the Live Life Card for any reason.

6.5 We will not be liable to you if we cannot carry out our responsibilities under this Agreement as a result of anything that we cannot reasonably control. This includes any machine, computer system, transmission or communication link failing to work and any industrial dispute, war or act of God.

6.6 You are responsible for all medical, clinical or other products or services used and you accept that assistance is provided on a best-efforts basis and may not be available due to time, distance or location.

6.7 You will not hold us responsible for the availability, use, act, omission, loss or damage suffered as a result of any such medical, clinical or other product or service.

7. CHANGE, MODIFICATION AND AMENDMENT

7.1 All Benefits that you may enjoy with your Live Life Card are subject to the terms and conditions set out herein, as well as the terms and conditions then applicable to the transactions (the "Transaction Terms") initiated through Participating Agents. We and/or the Participating Agents reserve the right to change, modify or amend any such benefit or privilege from time to time. In the event of any inconsistency between the terms and conditions set out herein and the Transaction Terms, the Transaction Terms shall prevail.

7.2 We may change, modify or amend any term or condition of this Agreement at any time by exhibiting such amendments or a set of the revised terms at our offices and/or Participating Agent locations and/or publicising such amendments or set of the revised terms through any media. Any such change, modification or amendment will be effective from the date specified in any such notice.

7.3 If you do not accept any such change, modification or amendment, you may within seven days after the date of our notice terminate the use of your Live Life Card in accordance with Clause 5.

7.4 If you retain or use the Live Life Card or initiate any Card Transaction after this Agreement has been changed, modified or amended, you will be agreeing to any such change, modification or amendment. At any time, you may obtain a copy of this Agreement, as amended, by writing to IAG at the address, or at most Participating Agent locations.

8. YOUR INFORMATION

8.1 You agree that IAG and its Participating Agents may store, retrieve, access, process, transmit and use all information that we obtain from you or others or which we learn about you (“Information”).

8.2 To the extent permitted by applicable law, you also agree that IAG may use the Information and contact you from time to time regarding our products or services; and that IAG may disclose the Information regarding our products or services.  If you do not wish to be contacted by parties other than IAG, its affiliates or the Participating Agents, please contact IAG.

8.3 All Information is managed in accordance with the model data protection code for the private sector promoted by Singapore's National Trust Council. Information may be passed to Participating Agents or other organisations to process your Application, to facilitate your Card Transactions or for communication of news and information to you. You may request to review and correct any personal data held by IAG. An administration fee may be charged for the processing of these requests.

8.4 We, our employees or agents may at any time without notice or liability disclose your Information to any Participating Agent or other merchants which accepts the Life!Card and/or any other person we consider it in our interest to make such disclosure or as we are required by law to do so.

9. GENERAL

9.1 Communication, if any, from IAG will be mailed or couriered or made to you at the mailing address or contact number(s) given in the Application. All communication at the said address or number(s) will be deemed to have been received by you and IAG bears no responsibility for communication not received or lost in the mail or courier or otherwise.

9.2 You are liable to pay and reimburse us on demand (on a full indemnity basis) any and all costs (including legal costs on a full indemnity basis), fees and expenses incurred by us in recovering or attempting to recover any payment or sum due to us from you.

9.3 You acknowledge and agree that to the maximum extent permitted under law, you must indemnify and keep indemnified us, our affiliates / subsidiaries, and our respective officers, directors, employees and Participating Agents against all claims, demands, action, proceedings, losses and damages of any nature suffered, incurred or sustained by us directly or indirectly, by reason of or in connection with this Agreement.

9.4 If any one or more of the provisions contained herein or any part thereof shall be deemed invalid, unlawful or unenforceable in any respect under any applicable law, the validity, legality and enforceability of the remaining provisions or part thereof contained herein shall not in any way be affected or impaired but this Agreement shall be construed as if such invalid, unlawful or unenforceable provision or part thereof had never been contained herein.

9.5 We may assign the Agreement without obtaining your consent. You may not assign or transfer your Live Life Card or your Membership, or allow others to use your Live Life Card without prior written consent of IAG. However, you will be responsible for any unauthorized used of your Live Life Card unless and until you report it lost or stolen to IAG.

9.6 A person who is not a party to this Agreement shall have no right under the Contracts (Rights of Third Parties Act) (Chapter 53B) of Singapore to enforce any of the terms and conditions of this Agreement.

9.7 No omission or delay on IAG's part in exercising any right, power or privilege hereunder shall operate as a waiver thereof; nor shall any single or partial exercise of any such right, power or privilege preclude any other or further exercise thereof or of any other right, power or privilege. The rights and remedies of IAG herein provided are cumulative with and not exclusive of any rights or remedies provided by law.

9.8 This agreement is governed by the laws of Singapore. You hereby submit to the non-exclusive jurisdiction of the Singapore courts.
